1. Introduction and Acceptance of Terms

Welcome to Anthromatic Labs. These Terms of Service ("Terms") govern your access to and use of the website located at anthromaticlabs.com (the "Site") and any services provided by Anthromatic Labs ("Anthromatic Labs," "we," "us," or "our"), including AI agent workflows, automation systems, web and app development, and custom software development (collectively, the "Services").

By accessing our Site or engaging our Services, you ("you," "your," or "Client") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Services

Anthromatic Labs provides AI-driven automation and technology services, which may include but are not limited to:

  • Custom AI agent development and workflow automation
  • Business process automation systems
  • Web application and website development
  • Custom software development
  • Related consulting, integration, and support services

Specific deliverables, timelines, fees, and scope for any engagement will be outlined in a separate proposal, statement of work, or service agreement ("Agreement") signed by both parties. In the event of a conflict between these Terms and a signed Agreement, the Agreement shall govern with respect to that specific engagement.

3. Eligibility

By using our Site or Services, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Our Services are intended for businesses and professional use, not for personal, household, or consumer purposes.

4. User Responsibilities and Acceptable Use

When using our Site or Services, you agree to:

  • Provide accurate, current, and complete information as required
  • Use the Site and Services only for lawful purposes
  • Not attempt to gain unauthorized access to any systems, data, or networks related to our Services
  • Not use our Services to develop, deploy, or distribute any unlawful, harmful, fraudulent, or malicious content or systems
  • Not reverse engineer, decompile, or attempt to extract the source code of any proprietary software, tools, or systems we provide, except as permitted by law
  • Not interfere with or disrupt the integrity or performance of our Site, Services, or underlying infrastructure

We reserve the right to suspend or terminate access to our Site or Services for any user who violates these Terms.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content on the Site, including text, graphics, logos, designs, software, and other materials (excluding Client-provided content and deliverables covered under Section 5.2), is the property of Anthromatic Labs or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from this content without our prior written consent.

5.2 Deliverables and Client Ownership

Unless otherwise specified in a signed Agreement, ownership of custom deliverables (such as bespoke software, automation systems, or web applications built specifically for a Client) transfers to the Client upon full payment. Anthromatic Labs retains the right to reuse general methodologies, frameworks, pre-existing tools, and non-client-specific components developed in the course of providing Services.

5.3 Third-Party Tools

Our Services may incorporate third-party software, platforms, or APIs. Use of such third-party components is subject to the respective third party's own licensing terms, and Anthromatic Labs makes no warranties regarding third-party tools beyond what is expressly stated in a signed Agreement.

6. Payment Terms

  • Fees for Services will be outlined in the applicable proposal, invoice, or Agreement
  • We accept payment via bank transfer and PayPal
  • Payment terms and due dates will be specified at the time of engagement
  • Late payments may be subject to suspension of Services and/or late fees as specified in the applicable Agreement
  • All fees are subject to the Refund and Cancellation Policy outlined in Section 7

7. Refund and Cancellation Policy

For engagements requiring an upfront deposit:

  • A 50% deposit is required to begin work and is non-refundable once paid, as it secures your project slot and covers initial planning, scoping, and resource allocation
  • The remaining 50% balance is refundable only if work has not yet begun. Once work on your project has started, the remaining balance is no longer eligible for a refund, regardless of project stage or outcome
  • Cancellations must be submitted in writing to hello@anthromaticlabs.com
  • Any specific refund or cancellation terms stated in a signed Agreement for a particular engagement will take precedence over this general policy

8. Confidentiality

Both parties agree to keep confidential any proprietary, non-public information disclosed by the other party in connection with the Services, and to use such information solely for the purpose of fulfilling obligations under these Terms or an applicable Agreement. This obligation survives the termination of any engagement.

9. Warranties and Disclaimers

Our Services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality, reliable Services, Anthromatic Labs makes no warranties or representations, express or implied, regarding:

  • The uninterrupted, timely, secure, or error-free operation of any deliverable, automation, or system
  • The accuracy, reliability, or completeness of AI-generated outputs, which by nature may occasionally produce unexpected or imperfect results
  • That the Services will meet every specific requirement not explicitly documented in a signed Agreement

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Anthromatic Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Site or Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or any Services shall not exceed the total fees paid by you to Anthromatic Labs for the specific Services giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Anthromatic Labs, its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate an ongoing engagement in accordance with the terms specified in the applicable Agreement. Anthromatic Labs reserves the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, any outstanding fees for Services rendered up to the date of termination remain due and payable, subject to the Refund and Cancellation Policy in Section 7.

13. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our Site or Services after changes are posted constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
